1. Acceptance of Terms

By accessing or using Channlize's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and Channlize, Inc. ("Channlize," "we," "our," or "us").

2. Description of Services

Channlize provides a developer-first customer support platform that routes customer conversations into Slack workspaces. Our services include:

  • React SDK for embedding customer support widgets
  • API integrations for routing and managing support conversations
  • Dashboard and analytics tools
  • Third-party integrations, including Slack

3. Account Registration

To use our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, malicious code, or harmful content
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to our systems or user accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services for any fraudulent or illegal purpose

5. Intellectual Property

Channlize retains all rights to our services, including all software, designs, trademarks, and other intellectual property. You retain all rights to content you submit through our services. By using Channlize, you grant us a limited license to use your content solely for providing and improving our services.

The Channlize name, logo, and all related names, logos, product and service names are proprietary to Channlize. You may not use such marks without prior written permission.

6. Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your designated payment method. All fees are non-refundable except as required by law or as otherwise specified in your subscription agreement.

We reserve the right to change our pricing with 30 days' prior notice.

7. Confidentiality

You acknowledge that during your use of Channlize, you may have access to confidential information. You agree to maintain the confidentiality of all confidential information and not to disclose it to any third party without prior written consent.

8. Service Level

We strive to provide uninterrupted access to our services, but we do not guarantee 100% uptime. Scheduled maintenance may cause temporary service interruptions, and we reserve the right to modify or discontinue services with reasonable notice.

For enterprise customers, specific uptime guarantees may be defined in a separate Service Level Agreement (SLA).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHANNLIZE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER OR NOT CHANNLIZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Channlize and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time through your account settings or by contacting us. We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use our services will cease immediately. Data retention after termination is subject to our Privacy Policy.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through our services. Your continued use of our services after any modifications indicates your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of San Francisco County, California.

14. Third-Party Services

Our services may include third-party components, including Slack. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of any third-party providers.

15. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

16. General Provisions

These Terms constitute the entire agreement between you and Channlize regarding your use of our services. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
